Intro

These terms describe the conditions under which Site offers you access to its content, tools, and any other services it may make available from time to time (collectively, the "Services").

This is a legal agreement, so please read it carefully before using the Services. By uploading any content to our servers, downloading any content from them, or otherwise using the Services in any way, you agree to be bound by this agreement. You must accept and follow these terms as presented; changes, additions, or deletions are not acceptable, and Site may refuse access to the Services for non-compliance with any part of this agreement.

Site reserves the sole right, at its legal discretion, to modify or change these terms of service at any time. The most current version always supersedes any and all previous versions. It is your responsibility to review the terms of service and your use of the Site carefully and to acknowledge that you accept all of the terms set forth. If you do not agree to these terms of service, you must not access or use the Site.

All users of the site:

All Users confirm that they are at least 18 years of age when uploading, downloading, or hosting any content while using the Site, and agree that they are entering into a legally binding agreement with Site and accept all responsibilities and duties for content uploaded to or downloaded from the Site. We reserve the legal right to remove any User we believe is not of legal age or intends to carry out illegal activities. After registration, a User agrees to the automatic processing, usage, and storage of any personal data provided during registration or afterward in the course of using the Site.

All Users are responsible for maintaining the confidentiality of their account information and for restricting access to their computer, and agree to accept responsibility for all activity that occurs under their account. We reserve the legal right to refuse, cancel, or terminate accounts, and to remove or edit content at our sole discretion. We will also act under any legal order, direction, or request to disclose the identity or other information of anyone violating these terms of service.

Accordingly, all Users agree to the responsibilities below and agree that we are entitled to freeze an account, in full or in part and without prior notice, for any violation of them:

You will not imply in any way that Site endorses any services unless this has been specifically agreed in writing;
You will not upload, download, store, or have Site host any illegal materials;
You will not provide any material that is offensive or controversial, or that infringes the intellectual property rights or other rights of any third party, including but not limited to moral rights, passing-off, defamation, contempt of court, sub judice ("under judgment"), privacy, or confidence;
You grant Site an irrevocable, perpetual, and transferable license to use and reproduce any content in any manner (whether now known or devised in the future). This includes the right to edit, adapt, modify, add to, and detract from the content posted on the Site;
You will not distribute viruses, corrupted files, files with hidden access codes, or any other software or programs that may damage the operation of any computer hardware or software, or carry out any related hacking attacks;
You will not use content accessed through the Site in any country or in any manner prohibited by applicable laws, restrictions, or regulations;
You will not use your account or uploaded files for cheating;
You will not create more than one account;
You will obey all disclaimers, release agreements, and any other terms used by Site;
You will not permit or authorize anyone else to do any of the foregoing.

If you become aware of any violation of these terms of service, you must report it to Customer Service immediately. You agree to assist us with any investigation we undertake and to take any remedial steps we require in order to correct a violation of these terms of service.

Prohibited content:

You acknowledge and agree that you are solely responsible for the content, materials, and files that you upload, store, or share with others using the Site (the "User Content"), and for the consequences of uploading, storing, or sharing any User Content.

You agree that you will not use the Site to upload, store, or share User Content that you did not create or that you do not have permission to upload, store, and share. You confirm that you hold all intellectual property rights (including, without limitation, copyright and trademark rights), licenses, and permissions needed to upload, store, or share your User Content. By uploading, storing, or sharing any User Content, you confirm that doing so does not infringe the intellectual property rights of any other person.

You should be aware that uploaded User Content is subject to approval and may, at Site's discretion, be removed from the Site. Site will not allow any of the following content:

Pornography or child pornography, and sexually explicit content, including but not limited to rape, bestiality, incest, coprophilia, and other similar content;
Promotion of escort services, dating services, illegal goods, illegal drugs, or any activity relating to terrorism;
Material that expresses hatred toward others, or that is slanderous, grossly offensive, prejudiced, or lewdly profane, including content that involves violence, harassment, bullying, or is otherwise objectionable;
Content that facilitates spamming, pyramid schemes, or gambling;
Content that promotes or instructs destructive or illegal actions against any government, organization, or law enforcement agency;
Content that introduces harmful viruses, code, or Trojan horses;
Content that violates the copyrights, trademarks, or patents of Site or any third party without the explicit written consent of the owner.

You therefore agree that you will not violate any of the above provisions, or any additional provisions that Site may add from time to time, and that you will not hold us liable for any illegal or prohibited User Content.

If you are found to be in violation of any prohibited-content policy, or your conduct results in a violation of criminal or civil law, you may be removed from the Site and reported to all relevant local and international authorities, including but not limited to the jurisdictions of Site or any other jurisdiction that prosecutes cross-border criminal acts. We will not hesitate to provide data and to work closely with any authority, in good faith, to bring about justice.

You may also contact us if you believe any activity is illegal or otherwise violates our prohibited-content policy.

Payment terms

When you pay for the Services, you are paying for the use of Site's facilities and the work we perform for you — such as computing resources, a wider data-transfer channel, processing time, and storage. A payment is never a purchase of file content. You are not buying a video, photo, or any other media file or its content; you are paying for the service Site carries out using the resources you select.

To purchase a service, select the payment method that suits you best and follow the instructions provided.

What you are paying for (Upscales, AI Enhance & AI Upscale)

This is important, so we state it plainly. When you buy an Upscale in the Upscales section — for example by choosing to enhance or "buy" a video — you are not buying the video, and you are not buying any video content. You are paying for the processing work that Site performs on the file you provide.

That work includes, without limitation:

AI Enhance / AI Upscale processing of your video or photo using our Artificial Intelligence algorithms;
the GPU and other computing resources consumed while that processing runs;
video transcoding, frame interpolation, resolution and frame-rate improvement;
the data transfer, temporary storage, and delivery of the result back to your account.

Because the price reflects the computing work required, AI Enhance for video is charged per hour of video and may vary with system load; you can always see the exact price at the checkout screen before you confirm. The file you upload remains yours, and the enhanced result we deliver is produced from your own material and returned only to your account. Site does not sell video content and claims no ownership over the source files you provide or the enhanced output we return to you. Your payment is solely consideration for the enhancement work and the resources used to produce it.

Cancelling & Refunds

All Users have the right to cancel their Paid Services within the first 30 days of use and to request a refund. To do so, you must provide a reasonable reason for the cancellation and contact our Customer Support team. Refunds may be full or partial. Because a payment covers work that has been or is being performed on your behalf, the refundable amount may reflect the processing already carried out. The exact refund date depends on the date the order was placed and on the payment method used.

Delivery policy

After a payment is processed successfully, your account immediately receives information about the Paid Service, displayed on the Site, and we also send you an email with a detailed confirmation.

Privacy, Data Policy and GDPR

Data

All your data and materials are encrypted and private. This means your data and materials are never accessible to the public. Video and other data-asset information is available only to Site staff, and only to help resolve customers' technical problems.

Privacy

All your personal information is encrypted and private. This means access to your personal data is restricted to authorized Site staff, and only to help resolve account issues. Your personal information will never be transferred or resold to any third-party organization.

Your Media

Your media (including, without limitation, the text, video, photographs, graphics, images, music, and sound that you have created) belongs to you. We claim no intellectual property rights over the material you create and provide to Site. You may delete your media, and modify or remove associated content, at your discretion. In the event of technical problems (such as a server or hosting crash), Site cannot be held responsible for the loss of users' files.

The Site Service

Information Control

Site does not control the content provided by other parties, whether by its customers or other users, that is made available through the Services. You must use caution and common sense when using the Services. You understand that, in using the Services, you may encounter content that some may consider offensive, indecent, or objectionable, that may contain explicit language, or that may be inaccurate or deceptive. You agree to use the Services at your sole risk, and that Site has no liability to you of any kind for content — whether Site's or a third party's — that may be found to be offensive, indecent, objectionable, inaccurate, or deceptive in any manner.

Your Information

As used in this Agreement, "Your Information" means any information you provide to Site or to other users in using the Services, including during registration, in any public message area, or through any email, messaging, or sharing feature. Except as set forth in the Site Privacy Policy as established from time to time, your personal information (such as your name and email address) is deemed confidential. With the exception of content you share with others using the Services, any non-personal information or material you send to Site is generally deemed NOT confidential. You understand and agree that we may disclose information about you if we have a good-faith belief that we are required to do so by law or legal process, in order to respond to claims, to protect the rights, property, or safety of Site or others, or as stated in our Privacy Policy. You are solely responsible for Your Information. Your Information may not:

be false, inaccurate, misleading, or fraudulent;
infringe anyone's copyright, trademark, trade secret, patent, or other proprietary rights, or rights of publicity or privacy;
violate any law, statute, ordinance, or regulation;
be obscene, defamatory, libelous, threatening, abusive, or harassing, or encourage any of the foregoing;
contain any viruses, Trojan horses, worms, time bombs, cancelbots, Easter eggs, or other computer programming routines that may damage, detrimentally interfere with, intercept, or use any system, data, or personal information in an unauthorized way;
create liability for Site, or cause it to lose (in whole or in part) the services of its ISPs or other suppliers.

You grant Site a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable right to exercise the copyright, publicity, and database rights associated with Your Information, in any media now existing or later invented, within the confidentiality and privacy terms of this Agreement.

Passwords

When you register for the Services, you will choose a login and a password. Only one login per account is permitted, and you may not create multiple accounts. You are solely responsible for maintaining the confidentiality of your password, and Site recommends that you choose one that is at least 8 characters long and combines numbers and letters. You are solely and fully responsible for all activity that occurs under your account. Site is not responsible for any loss, claim, or other liability arising from the unauthorized use of any password. If a password is lost or stolen, it is your responsibility to notify Site so that the missing password can be deactivated and a new one assigned.

Prohibited Uses

Improper Conduct

You agree that you will not: (a) impersonate any other individual, including, without limitation, another user or a Site staff member; (b) engage in harassment of any form, including, without limitation, through improper language or through excessive frequency or size of messages; (c) send messages of any kind to anyone who has stated, or otherwise demonstrated, that they do not wish to receive them; (d) copy or post any personal messages sent to you through the Services; (e) advertise to, or solicit, any other users of the Services to buy or sell products or services through the Services; (f) use the Services for any unlawful purpose; or (g) otherwise use the Services in a deceptive, abusive, or disruptive manner. You are solely responsible for your interactions with other users of the Services. Site reserves the right, but has no obligation, to monitor disputes between you and other users.

Copyright Infringement

You agree that you will not use the Services to infringe upon or misappropriate the intellectual property rights, including, without limitation, the copyrights, of Site, its end users, or any other party. WITHOUT LIMITING THE PRECEDING SENTENCE, YOU AGREE THAT YOU WILL NOT USE THE SERVICES TO CREATE DERIVATIVE WORKS OF ANY KIND BASED ON OTHER PARTIES' MATERIALS, OR TO UPLOAD OR DOWNLOAD ANY SUCH MATERIALS, EXCEPT AS EXPRESSLY PERMITTED HEREUNDER OR UNLESS YOU HAVE OBTAINED ALL NECESSARY RIGHTS AND LICENSES FROM THE OWNERS OF SUCH MATERIALS. YOU ACKNOWLEDGE THAT IT IS YOUR RESPONSIBILITY TO DETERMINE WHICH RIGHTS ARE NECESSARY AND WHO HAS THE PROPER AUTHORITY TO PROVIDE THEM. You agree to indemnify, defend, and hold harmless Site, its affiliates, suppliers, and each of its and their employees, officers, directors, successors, licensees, assigns, and advisors (collectively, the "Site Parties") from and against any and all claims, damages, demands, or liabilities, including but not limited to attorneys' fees and costs, arising out of any claim that Your Information, or any content you create using the Services or upload in any way, infringes upon, misappropriates, or violates any party's personal or proprietary rights of any kind.

Interference and Unauthorized Access

You agree that you will not: (a) attempt to circumvent user authentication or the security of any Site account; (b) use any robot, spider, other automatic device, or manual process to monitor or copy Site's web pages or their content; (c) use any device, software, or routine to interfere, or attempt to interfere, with the proper working of the Services; or (d) take any action that imposes an unreasonable or disproportionately large load on Site's infrastructure, including, without limitation, "denial of service" attacks. If you violate any system or interfere with network security, you may incur criminal or civil liability. Site will cooperate fully with investigations of violations of system or network security at other sites, including cooperating with law enforcement authorities in the investigation of suspected criminal violations.

Proprietary Materials

The Services contain copyrighted material, trademarks, service marks, and other proprietary information, which may include, without limitation, text, video, APIs, software, photographs, graphics, images, music, and sound (collectively, the "Proprietary Material"). You agree not to copy, reproduce, modify, publish, transmit, participate in the transfer or sale of, create derivative works of, or in any way exploit, in whole or in part, any Proprietary Material, except as expressly permitted herein and solely for your personal, non-commercial use. Except as expressly set forth in this Agreement (or as otherwise specifically authorized in writing by Site), you may not authorize, encourage, or allow the Proprietary Material obtained by you to be reproduced, modified, derived, displayed, performed, transferred, distributed, or otherwise used by anyone else. You agree to advise Site promptly if you become aware of any such unauthorized use. Any and all goodwill arising from the use of trade names, trademarks, and service marks (collectively, the "Marks") under this Agreement shall accrue solely to the respective owners of those Marks. ALL RIGHTS NOT EXPRESSLY GRANTED TO YOU IN THIS AGREEMENT ARE RESERVED BY Site AND ITS LICENSORS.

Submissions

You agree that any information you submit through any forum provided by Site is considered non-confidential and non-proprietary, unless specifically stated otherwise in this Agreement. You represent that you have the lawful right to submit such information and agree that you will not submit any information unless you are legally entitled to do so. While Site is pleased to hear from users of the Services, company policy prohibits Site from accepting or considering creative ideas, suggestions, or materials other than those it has specifically requested. With this policy, Site seeks to avoid future misunderstandings that may occur when projects developed by employees, licensors, or contractors of Site — by and for the sole use of Site — might seem to others to be similar or identical to their own creative work or submissions. If, despite this request, you submit to Site any creative material, including but not limited to ideas, suggestions, or other information, you acknowledge and agree that such submissions are, and shall remain, the property of Site. You further agree and acknowledge that Site shall not be liable for the use or disclosure of such submissions, that Site is under no obligation (including, but not limited to, any obligation to compensate you) with respect to the use or disclosure of such submissions, and that Site shall own exclusively all rights to the submissions, including but not limited to rights now known or hereafter existing, of every kind and nature, throughout the universe. Because of the open nature of the Internet, we recommend that you not submit any information you consider confidential.

Linked Sites

Site is not affiliated with sites that may be linked to the Services through hypertext ("Linked Sites"). Site has no control over, and is not responsible for, the content on or from any Linked Site. The Linked Sites are provided for your convenience only, and you access them at your own risk.

General Terms And Conditions

Termination

Without limiting other remedies, Site may, without liability and at its sole discretion, immediately issue a warning, temporarily suspend, indefinitely suspend, or terminate your access to the Services if: (a) you breach this Agreement or any of the documents it incorporates by reference; (b) Site is unable to verify or authenticate any information you provide; or (c) Site believes that your actions may cause legal liability to any person or entity.

Indemnity

You agree to indemnify and hold each Site Party harmless from any claim or demand — and from any damages, costs, or expenses arising in connection with such claim or demand, including reasonable attorneys' fees and costs — made by any other party due to or arising out of your breach of this Agreement or the documents it incorporates by reference, or your violation of any law or the rights of another party.

Legal Compliance

You agree to comply with all applicable domestic and international laws, statutes, ordinances, and regulations regarding your use of the Services.

Governing Law

This Agreement, and its validity, construction, and performance, will be governed in all respects by applicable international law.

Changes and Cancellation

Site may, at any time and without notice or liability, change or eliminate the Services or the content they contain, or restrict the use of any portion of the Services, including by limiting the time of their availability, the amount of use permitted, or who is permitted to use them. Site may, at any time and at its sole discretion, cancel or suspend the Services for any reason, including, without limitation, the existence of viruses, bugs, or other causes beyond its control that corrupt the administration, security, or proper functioning of the Services.

Reservation of Rights

Site reserves the right to refuse access to the Services for any reason.

Amendment

Site may modify or amend this Agreement at any time by posting the modified or amended terms on the Services, which become effective immediately when posted. By continuing to use the Services after Site posts any amendment, you agree to be bound by it. This Agreement may not be amended other than by an authorized officer of Site.

General

This Agreement contains the entire understanding of the parties relating to its subject matter and supersedes any prior written or oral agreement or understanding between the parties with respect to that subject matter. The provisions of this Agreement are to be interpreted in a reasonable manner to give effect to the intent of the parties, and this Agreement is not to be interpreted or construed against Site because it participated in the drafting. The invalidity or unenforceability of any provision of this Agreement will not affect the validity or enforceability of any other provision. Site may assign or transfer this Agreement, in whole or in part, to any party without notice. All terms and conditions of this Agreement that by their nature are meant to survive its termination will survive termination, including but not limited to the DISCLAIMER OF WARRANTIES and LIMITATION OF LIABILITY sections. BY UPLOADING OR OTHERWISE PROVIDING YOUR CONTENT TO Site'S SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT CAREFULLY, THAT YOU HAD THE OPPORTUNITY TO HAVE IT REVIEWED BY LEGAL COUNSEL, AND THAT YOU ARE AT LEAST 18 YEARS OLD AND AGREE TO BE BOUND BY ITS TERMS — OR THAT YOU ARE THE PARENT OR LEGAL GUARDIAN OF A MINOR AT LEAST 13 YEARS OF AGE, APPROVE OF THIS AGREEMENT, AND HAVE THE LEGAL AUTHORITY TO EXECUTE IT.

Limitation of liability

YOU EXPRESSLY AGREE AND UNDERSTAND THAT, UNDER NO CIRCUMSTANCES, SHALL Site BE HELD LIABLE TO YOU — AS A USER OF ANY FILE HOSTING, ONLINE STORAGE, OR ANY OTHER SERVICE — OR TO ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, OR ANY OTHER DAMAGES WHATSOEVER, INCLUDING FOR LOSS OF PROFITS, GOODWILL, USE, OR DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR RESULTING FROM:

IF YOUR LOSSES CANNOT BE AVOIDED UNDER THE LAW AND WITHIN THE FRAMEWORK OF THESE TERMS OF SERVICE, THEN, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Site WILL HAVE NO LIABILITY RELATED TO USER MATERIAL ARISING UNDER INTELLECTUAL PROPERTY RIGHTS, LIBEL, PRIVACY, PUBLICITY, OBSCENITY, OR OTHER LAWS.

IN NO EVENT SHALL Site'S TOTAL LIABILITY TO YOU FOR ANY DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT — INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE — OR OTHERWISE) EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THIS WEBSITE.

IF YOU ARE UNSATISFIED WITH ANY PORTION OF THIS WEBSITE OR WITH ANY OF THESE TERMS OF SERVICE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE YOUR USE OF THIS WEBSITE.
